Terms of Use and End-User License Agreement

1. Eligibility

You must be at least 18 years old to use TendeAI.

By using TendeAI, you represent and warrant that:

• You are at least 18 years old;
• You have legal capacity to enter into these Terms;
• The information you provide to TendeAI is accurate to the best of your knowledge;
• You will use the Service only for lawful purposes.

We may suspend or terminate accounts where we reasonably believe these requirements have been violated.

2. Nature of the Service

TendeAI is a personal health and fitness tracking application designed to help users:

• Track food and calorie intake;
• Record exercise and activity;
• Monitor weight and other personal metrics;
• Set personal health and fitness goals;
• View progress;
• Receive informational recommendations and calculations.

TendeAI is provided as a consumer wellness and fitness tool.

3. Medical Disclaimer

TendeAI is not medical software and does not provide medical advice, medical diagnosis, medical treatment, or professional healthcare services.

Information, calculations, recommendations, calorie estimates, nutritional information, exercise information, and other content provided through TendeAI are for general informational and wellness purposes only.

TendeAI is not a doctor, dietitian, nutritionist, therapist, hospital, clinic, or healthcare provider.

Nothing in TendeAI should be interpreted as:

• A medical diagnosis;
• A treatment recommendation;
• A prescription;
• Professional nutritional counseling;
• A substitute for professional healthcare;
• A guarantee of weight loss or other health outcomes.

You should consult a qualified doctor or other healthcare professional before beginning a diet, calorie-deficit plan, exercise program, weight-loss program, or other significant change to your nutrition or physical activity.

This is particularly important if you are pregnant, breastfeeding, taking medication, have a medical condition, have a history of an eating disorder, or have other health concerns.

If you experience a medical emergency, stop using TendeAI and seek immediate professional medical assistance.

4. No Guarantee of Results

TendeAI does not guarantee:

• Weight loss;
• Weight gain;
• Muscle gain;
• Fat loss;
• Achievement of a particular body weight;
• Achievement of a particular fitness goal;
• Accuracy of calorie estimates;
• Accuracy of nutritional information;
• Any particular health outcome.

Results depend on many factors outside TendeAI’s control.

5. User Responsibility

You are responsible for:

• The information you enter into TendeAI;
• Reviewing information before relying on it;
• Making your own health and fitness decisions;
• Consulting healthcare professionals when appropriate;
• Ensuring that your use of TendeAI is appropriate for your circumstances.

You should not rely exclusively on TendeAI when making decisions that could materially affect your health or safety.

6. Accuracy of Food and Calorie Information

TendeAI may provide estimated calories, nutritional information, exercise expenditure, targets, or other calculations.

These values are estimates and may be inaccurate because food composition, serving sizes, preparation methods, exercise intensity, metabolism, and other variables differ between individuals and circumstances.

You are responsible for verifying important nutritional or health information where necessary.

7. Accounts

Certain TendeAI features may require an account.

You agree to:

• Provide accurate information;
• Keep your login credentials confidential;
• Not share your account with others;
• Notify us of unauthorized account activity;
• Not impersonate another person.

You are responsible for activity occurring through your account unless the activity resulted from circumstances outside your reasonable control.

8. Subscriptions and Paid Features

TendeAI may offer free and paid features.

Paid features may be provided through recurring subscriptions, depending on the plan offered at the time of purchase.

The price, billing period, included features, and other subscription terms will be displayed before purchase.

8.1 Auto-Renewal

Unless you cancel before the applicable renewal date, a recurring subscription will automatically renew for another billing period.

Your applicable app-store account will be charged according to the subscription terms presented at the time of purchase.

8.2 Apple App Store Purchases

Subscriptions purchased through Apple’s App Store are processed through Apple’s in-app purchase system.

Apple controls the payment transaction and applicable App Store billing mechanisms.

You can manage or cancel subscriptions through your Apple account’s subscription settings.

8.3 Google Play Purchases

Subscriptions purchased through Google Play are processed through Google Play Billing.

Google controls the payment transaction and applicable Google Play billing mechanisms.

You can manage or cancel subscriptions through your Google Play account’s subscription settings.

Uninstalling TendeAI does not automatically cancel a subscription.

8.4 Cancellation

Cancelling a subscription stops future automatic renewal but normally does not immediately terminate the already-paid subscription period.

You will generally retain access to paid features until the end of the current paid billing period, unless the applicable platform’s policies or applicable law provide otherwise.

8.5 Refunds

Except where required by applicable law or the applicable app store’s refund policy, subscription payments are non-refundable, including for partially used billing periods.

We do not provide prorated refunds merely because you stop using TendeAI before the end of a billing period.

Apple and Google may independently determine whether a refund is available under their respective policies.

Nothing in these Terms is intended to remove any mandatory refund, cancellation, withdrawal, consumer-protection, or other legal right that cannot lawfully be excluded.

9. Changes to Subscription Prices

We may change subscription prices or plan structures in the future.

Where required, we will provide appropriate notice and obtain any required consent through the applicable platform.

Changes will not retroactively alter a completed purchase unless permitted by applicable law.

10. Free Trials and Promotional Offers

TendeAI may occasionally offer free trials, introductory pricing, promotional pricing, or other special offers.

Unless otherwise stated:

• Promotional eligibility may be limited;
• A free trial may automatically convert into a paid subscription when the trial ends;
• The applicable subscription price will be displayed before purchase;
• You must cancel before the trial ends to prevent renewal where applicable.

Promotional offers may be changed, suspended, or discontinued at any time, subject to applicable law.

11. License to Use TendeAI

Subject to these Terms, TendeAI grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the App for your personal, non-commercial purposes.

You do not receive ownership of TendeAI or any underlying intellectual property.

12. Prohibited Activities

You agree not to:

• Reverse engineer TendeAI;
• Decompile or disassemble the App;
• Attempt to obtain the App’s source code;
• Circumvent security mechanisms;
• Bypass subscription restrictions;
• Circumvent usage limits;
• Abuse promotional offers;
• Use automated systems to attack or overload the Service;
• Introduce malware or malicious code;
• Attempt unauthorized access to systems or accounts;
• Copy or redistribute substantial portions of TendeAI;
• Rent, lease, sell, sublicense, or commercially exploit the App without permission;
• Use TendeAI for unlawful purposes;
• Interfere with another user’s use of the Service;
• Use TendeAI to develop a competing product through unauthorized extraction or systematic copying;
• Misrepresent your identity;
• Use the Service in a manner that could reasonably harm TendeAI or its users.

13. Account Suspension and Termination

We reserve the right, to the maximum extent permitted by law, to suspend, restrict, or terminate your account or access to TendeAI if we reasonably believe that you:

• Violate these Terms;
• Abuse the Service;
• Attempt to reverse engineer or circumvent the App;
• Engage in fraud;
• Abuse subscriptions or payment systems;
• Attack or compromise our infrastructure;
• Use the Service unlawfully;
• Create security risks;
• Abuse other users;
• Violate applicable laws or regulations.

Where reasonably appropriate and permitted by law, we may provide notice before termination.

We may also immediately restrict access where necessary to protect users, the Service, or our infrastructure.

14. Effect of Termination

Upon termination:

• Your license to use TendeAI ends;
• You must stop using the Service;
• Certain information may be deleted in accordance with our Privacy Policy;
• Certain information may be retained where required or permitted by law.

Termination does not automatically entitle you to a refund.

15. Intellectual Property

TendeAI and its software, design, branding, logos, interfaces, text, graphics, algorithms, features, and other content are owned by or licensed to TendeAI and are protected by applicable intellectual-property laws.

Except for the limited license expressly granted in these Terms, no rights are transferred to you.

You may not use TendeAI branding, trademarks, logos, or other proprietary materials without written permission.

16. User Content

You retain ownership of information and content that you submit to TendeAI, subject to the rights necessary for us to operate the Service.

You grant TendeAI a limited license to process, store, transmit, and display your submitted information solely as necessary to provide, secure, maintain, and improve the Service in accordance with our Privacy Policy.

We do not acquire ownership of your health or fitness records merely because you enter them into TendeAI.

17. Third-Party Services

TendeAI may rely on third-party services, including app stores, analytics providers, cloud infrastructure, authentication services, and other technology providers.

Third-party services may have their own terms and privacy policies.

We are not responsible for independent third-party services to the extent permitted by applicable law.

18. Availability

We attempt to keep TendeAI available and functional, but we do not guarantee uninterrupted availability.

The Service may temporarily become unavailable because of:

• Maintenance;
• Software updates;
• Infrastructure failures;
• Network problems;
• Security incidents;
• Third-party service outages;
• App-store issues;
• Circumstances outside our reasonable control.

19. Disclaimer of Warranties

To the maximum extent permitted by applicable law, TendeAI is provided on an “as is” and “as available” basis.

We do not guarantee that:

• The Service will always be available;
• The Service will be error-free;
• Calculations will always be accurate;
• Nutritional information will always be complete or current;
• The Service will meet every user’s expectations;
• The Service will produce a particular health or fitness outcome.

Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

20. Limitation of Liability

To the maximum extent permitted by applicable law, TendeAI and its owners, operators, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Service.

This includes, to the extent permitted by law, damages relating to:

• Loss of data;
• Loss of profits;
• Loss of business;
• Health or fitness decisions made by you;
• Reliance on calorie estimates;
• Reliance on nutritional information;
• Interruption of service;
• Third-party services.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law, including liability that cannot legally be excluded or limited.

21. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless TendeAI and its owners, operators, affiliates, employees, contractors, and service providers from claims, liabilities, damages, losses, costs, and expenses arising from:

• Your violation of these Terms;
• Your misuse of the Service;
• Your violation of applicable law;
• Your infringement of another person’s rights;
• Content or information you submit unlawfully;
• Your unauthorized use of the Service.

22. Changes to TendeAI

We may modify, suspend, discontinue, or replace features of TendeAI at any time.

We may also release updates, patches, security fixes, or new versions.

Certain updates may be required for continued use of the Service.

23. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may provide notice through TendeAI, our website, email, or another reasonable method.

The updated Terms will include a new “Last Updated” date.

Your continued use of TendeAI after the updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

24. Governing Law

These Terms shall be governed by the laws of the Republic of Uganda, except to the extent that mandatory consumer-protection or other applicable laws provide otherwise.

Any dispute-resolution provisions must be interpreted subject to mandatory rights available to consumers in their jurisdiction.

25. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

26. No Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

27. Entire Agreement

These Terms and the TendeAI Privacy Policy constitute the agreement between you and TendeAI concerning your use of the Service, except where additional terms expressly apply.
